Objectives
The Structured Digital Database (SDD) is a system for tracking and managing unpublished price sensitive information (UPSI) shared internally or externally. It is based on Reg. 3 (5) and 3 (6) of the SEBI (Prohibition of Insider Trading) Regulations, 2015, which were first introduced in 2018 and went into effect on April 1, 2019.
UPSI refers to any information related to a company or its securities that is not publicly available, and that if made public, could significantly impact the price of the securities. This includes information that is directly or indirectly related to the company. The term "generally available information" refers to information that can be accessed by the public on a fair and equal basis.
The purpose of the SDD is to record and monitor the individuals who have been provided with UPSI.
